1. Agreement to Terms

2. Intellectual Property Rights & Ownership

Custom client deliverables and software build rights shall be transferred according to specific master service agreements or statements of work executed between Quantum Vista LLC and the client.

3. User Representations & Compliance

By using the Site or engaging our services, you represent and warrant that:

• You have the legal capacity and authority to enter into a binding contract under US state and federal law.
• All registration and project information submitted is accurate, current, and complete.
• You will not access the Site or software infrastructure through automated bot software or unauthorized scripts.
• You will not use the Site for any illegal purpose or in violation of applicable United States federal, state, or local regulations.

4. Governing Law & Jurisdiction (United States)

These Terms and your use of the Site are governed by and construed in accordance with the laws of the United States and the State of Delaware / State of New York, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located within the United States.

5. Binding Individual Arbitration & Class Action Waiver

To the fullest extent permitted by US law, any dispute, controversy, or claim arising out of or relating to these Terms or Quantum Vista LLC services shall be resolved through final and binding individual arbitration, rather than in court.

CLASS ACTION WAIVER: YOU AND QUANTUM VISTA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Quantum Vista LLC respects the intellectual property of others in accordance with 17 U.S.C. § 512 (DMCA).
